The General Counsel position will advise the Executive team and other staff members regarding legal issues and matters that arise during business. This includes project, corporate, and merger and acquisition risks and advising throughout project pursuit and execution from contract negotiation to early identification and resolution of project risks. The General Counsel will address legal and risk matters for the Boyd companies (R&N Holdings, LLC, Boyd Truck Centers, LLC and Boyd Real Property, LLC)

            

REQUIREMENTS:

  1. JD with KY Bar license in good standing
  2. 5 years of in-house corporate counsel experience
  3. 2 years of risk management experience. Insurance claim management experience preferred
  4. Proven ability in planning, organizing, prioritizing and using independent judgment to complete all assignments
  5. Highly self-directed; able to work independently, meet deadlines and implement objectives effectively
  6. Excellent interpersonal skills, and written and verbal communication skills
  7. Ability to lead a team and communicate effectively throughout all levels across an organization
  8. High level of proficiency in Microsoft Office Suite applications including Word, Excel, and Powerpoint

ESSENTIAL FUNCTIONS:

  1. Advise and counsel the Executive team and management on legal and business matters and risk issues
  2. Act as liaison with outside counsel as well as client representatives, vendors, subcontractors, and governmental agencies
  3. Assist in satisfying applicable compliance and regulatory requirements
  4. Develop policies and procedures to mitigate risks for the Company and business projects
  5. Evaluate the impact of existing and proposed regulations, court decisions, and law including any proposed changes in the law that might affect Company policies and operating procedures
  6. Act as a liaison for legal matters with the Human Resources, Credit, Finance, Tax, and Operations teams and collaborate to create business continuity plans to limit risks
  7. Review and advise on various contracts, leases, NDAs, and other corporate legal documents and make recommendations for modification, revision, and clarification of documents as needed
  8. Maintain and update standard documents and agreements for Company-wide use
  9. Have completed or be willing to complete KY Rule 403(b) requirements
    1. Although relevant, evidence may be excluded if its probative value is substantially outweighed by the danger of undue prejudice, confusion of the issues, or misleading the jury, or by considerations of undue delay, or needless presentation of cumulative evidence
  10. Develop risk assessments involving business activities and operation functions to adequately analyze and manage potential risk issues
  11. Manage the insurance relationship and processes, including claims management, on behalf of the Company
  12. Design and implement an overall risk management process for the organization, which includes an analysis of the financial impact on the Company when risks occur
  13. Semiannually review all insurance plans to determine effectiveness and relevance to ensure the plans are sufficient and cost-effective
  14. Maintain records of insurance policies and claims
  15. Oversee claims and loss control activities
  16. Manage third-party insurance service providers, including brokers, insurers, claims administrators, and outside counsel
  17. Attend and support insurance-related legal actions, as necessary
  18. Prepare and maintain risk management and insurance budgets
  19. Prepare and maintain the legal department budget
  20. Project a positive image by interacting with fellow employees, customers, and management in a cooperative, supportive, and courteous manner; display a professional attitude; comply with company dress code
  21. Contribute to a positive work environment and promote the vision, mission and values of the Boyd companies
  22. Follow all work and safety rules, and procedures
  23. Perform other duties as necessary and assigned
