Pay Rate:  $190,000.00 - $225,000.00 Annual Salary
Pay rate is dependent upon education & experience.

Position Summary:

As our General Corporate Counsel, you will serve as the primary in-house legal advisor for a growing, family-owned heavy equipment dealership operating in Colorado, New Mexico, and El Paso, Texas. You will provide strategic legal guidance while directly managing our Risk Management team, overseeing insurance programs, contract reviews, and workers’ compensation claims. This role reports to the CFO and plays a key part in mitigating risk, supporting business growth, and ensuring compliance in a regulated equipment sales and service environment.


Essential Functions:

• Advise the executive team, CFO, and business units on corporate law, regulatory compliance, risk mitigation, and day-to-day legal issues impacting operations.
• Provide direct management and leadership to the Risk Management team, including performance oversight, professional development, and strategic direction.
• Oversee all insurance-related matters: annual renewals, policy reviews, claims administration, and broker/vendor relationships.
• Review, negotiate, draft, and approve contracts and agreements with customers, OEMs (e.g., equipment manufacturers), vendors, and suppliers, with a focus on equipment sales, service, warranties, and leasing.
• Manage and provide legal oversight for workers’ compensation claims processing and administration across Colorado, New Mexico, and Texas.
• Identify and mitigate legal risks, ensure compliance with federal, state, and local laws (including multi-state employment, safety, and commercial regulations), and maintain
corporate records and governance.
• Serve as the primary point of contact with outside counsel when needed; develop and
manage litigation strategy.
• Support corporate transactions, M&A (if applicable), intellectual property, and other
general corporate matters.
• Stay current on laws affecting the heavy equipment/dealership industry and proactively
advise leadership.

Supervisory Responsibilities:
• Direct reports may include Risk Manager, who manages a team of three.
• Responsible for yearly budget.
• Conduct performance reviews with direct reports.
• Involved in hiring decisions within departments.

Required Education and Experience:
• Juris Doctor (J.D.) from an ABA-accredited law school.
• Active license to practice law in Colorado.
• 7+ years of progressive legal experience, with at least 3 years as in-house or as corporate counsel.
• 3 + years of experience managing a team.
• Demonstrated experience in insurance/risk management, contract negotiation/review and workers’ compensation in multi-state environments.
• Proven leadership and management experience.
• Strong negotiation, communication, and interpersonal skills; ability to translate complex legal issues into practical business advice.
• High integrity, discretion, and alignment with a family-owned company culture.

Preferred Qualifications:
• Experience in Colorado, New Mexico, and/or Texas workers’ comp and insurance regulations.
• Experience in manufacturing, heavy equipment, construction, or dealership operations.
• Experience with customer, OEM, and/or vendor agreement contract review and negotiation.
• Familiarity with heavy equipment industry contracts, warranties, UCC Article 2 (sales of goods), and state-specific dealership laws.
• Prior management of insurance programs or risk teams.

Additional Eligibility Requirements:
• Valid Driver’s License.
• Must pass all required pre-employment screenings which may include but are not limited to background checks, drug/alcohol testing, fit for duty testing, and any other job-related tests/screenings.
